These Terms and Conditions apply to all interactions, contracts, and business dealings with Shyamaa Living Ltd.
Section 1: General Terms
These terms apply to all interactions, contracts, and business dealings with Shyamaa Living Ltd.
1.1 Definitions
- "Company" refers to Shyamaa Living Ltd.
- "Customer" refers to any individual, care home operator, rental property owner, or business entity purchasing or renting Goods from the Company.
- "Supplier" refers to any business or individual selling goods, materials, or services to the Company.
- "Goods" refers to the furniture, furnishings, and related items supplied or purchased by the Company.
1.2 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered. Any disputes shall be subject to the exclusive jurisdiction of the local courts.
1.3 Severability
If any provision of these terms is found to be invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect.
Section 2: Sales & Rental Terms
These terms apply when Shyamaa Living Ltd sells or rents furniture to clients (e.g., care homes, HMOs, B2R, landlords).
2.1 Orders and Contracts
- All orders for Goods, whether for purchase or rental, must be confirmed in writing by the Company to be deemed accepted.
- Quotations are valid for 30 days from the date of issue unless stated otherwise.
Product Descriptions & Specifications
- Accuracy: While we strive for accuracy, all descriptions are provided in good faith.
- Images: All photography is for illustrative purposes only. We cannot guarantee that your monitor's display of upholstery or wood finishes will perfectly match the physical product.
- Dimensions: Measurements are rounded up to the nearest centimetre.
2.2 Payment Terms
- Outright Purchases: A deposit of 50% is required upon order confirmation, with the remaining balance due prior to or upon delivery, unless credit terms have been explicitly agreed in writing.
- Rental Agreements: Rental payments are billed monthly in advance. A security deposit may be required.
- Late Payments: The Company reserves the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate per annum, calculated daily.
2.3 Delivery & Installation Policy
Please note: We deliver to UK mainland postcodes only.
Delivery Areas & Coverage
- Multiple Dispatch Points: Our products are dispatched from various specialist manufacturing sites across the UK.
- Varying Lead Times: Coverage and lead times vary depending on the product's origin and the specific carrier network servicing that location.
- Limited Delivery Zones: Postcodes marked with a "Limited Delivery Service" are serviced on an ad-hoc basis or via a national pallet network. These areas may incur a delivery surcharge.
Our Professional Delivery Service
To ensure your furniture arrives in perfect condition, we primarily use specialist factory transport manned by experienced furniture distribution staff.
- Logistics: All deliveries are handled by a one-man furniture van service between 8:00 am and 5:00 pm, Monday to Friday.
- Drop-off Point: Orders are delivered to the inside of the front or main door, provided there is level/wheelchair access to the premises.
- Split Shipments: Orders containing products from different warehouses will arrive as separate consignments, potentially on different days. We will notify you as each part of your order becomes ready for dispatch.
- Pallet Deliveries: During exceptionally busy periods or for remote locations, we may occasionally use a national pallet service to support our regular fleet.
Important Site Requirements
- Timeline: Delivery dates provided by the Company are estimates only. While every effort is made to meet deadlines, the Company is not liable for financial losses caused by delivery delays beyond its reasonable control.
- Access and Preparation: It is the Customer's absolute responsibility to ensure that the delivery premises have clear, safe access (including appropriate doorways, hallways, and lifts) and comply with local health and safety regulations.
- Failed Delivery: If a delivery cannot be completed because the premises are inaccessible, unsafe, or no authorized representative is present, a Failed Delivery Fee (equal to the direct cost of transport and labour, minimum £150) will be charged to reschedule.
- Risk: Risk of damage or loss passes to the Customer immediately upon delivery. However, for rented Goods, title (ownership) remains exclusively with Shyamaa Living Ltd.
2.4 Cancellation Policy (By the Customer)
Cancellation Terms
- Standard Stock Items: Cancellations must be submitted in writing. If cancelled more than 5 business days prior to the scheduled delivery date, a full refund of payments made will be issued. If cancelled within 5 business days of delivery, a 20% restocking and administration fee will be deducted from the refund.
- Bespoke & Made-to-Order Items: Because care home furniture often requires specific fabrics (e.g., antimicrobial, Crib 5 compliance) or custom dimensions, orders for bespoke or made-to-order items cannot be cancelled or modified once production or fabric cutting has commenced.
- Rental Agreements: Cancellation of a rental agreement prior to the agreed contract end date will incur an early termination charge equal to the remaining balance of the contract, unless otherwise negotiated.
2.5 Return & Defect Policy
- Inspection upon Receipt: The Customer must inspect all Goods immediately upon delivery. Any transit damage, shortages, or visible defects must be noted on the delivery note and reported to the Company in writing within 48 hours.
- Returns of Non-Defective Goods: The Company does not accept returns of non-defective, standard Goods once delivered and installed, due to hygiene and health & safety compliance in care environments.
- Defective Goods: If a manufacturing defect is proven within the warranty period, the Company will, at its discretion, either: repair the item on-site, replace the item like-for-like, or provide a pro-rata credit note.
2.6 Care Home Compliance & Standards
The Company guarantees that all furniture supplied to care homes meets the relevant Crib 5 (Source 5) Fire Retardancy Regulations and healthcare hygiene standards (e.g., antimicrobial fabrics where specified).
The Customer must notify the Company immediately if specific regional care regulatory requirements apply to their order.
2.7 Rental-Specific Asset Protection
- Maintenance: The Customer must maintain rented furniture in a good, clean condition, allowing for fair wear and tear.
- Inspection: The Company reserves the right to inspect rented Goods at reasonable times with prior notice.
- Collection upon Termination: Upon termination of a rental agreement, the Customer must grant the Company access to retrieve the Goods. If Goods are missing or damaged beyond fair wear and tear, the Customer will be invoiced for the full replacement value.
2.8 Warranty & Liability
- Warranty: Manufacturer warranties cover defects in workmanship. They do not cover excessive wear and tear, misuse, or unauthorised modifications. Photographic evidence is required for all claims.
- Limited Liability: Our liability for any breach is limited to the price of the goods. We are not liable for indirect, incidental, or consequential damages.
- Unforeseen Event / Circumstances Beyond Control: We are not liable for delays or failures caused by events beyond our reasonable control.
Section 3: Purchase Terms (Supplier-Facing)
These terms apply when Shyamaa Living Ltd is buying goods, raw materials, or manufacturing services from Suppliers.
3.1 Purchase Orders (PO)
- Suppliers must not initiate work or dispatch goods without an official written Purchase Order from Shyamaa Living Ltd.
- The PO number must be clearly quoted on all invoices, delivery notes, and correspondence.
3.2 Supplier Delivery Obligations
- Time of the Essence: Time of delivery is strictly of the essence for all Purchase Orders.
- Delays & Penalties: If the Supplier fails to deliver the Goods on the agreed date, Shyamaa Living Ltd reserves the right to terminate the contract without liability, reject the Goods, and claim damages from the Supplier for any resulting operational or commercial losses (such as care home launch delays).
- Delivery Documentation: All deliveries must be accompanied by a delivery note detailing the PO number, item descriptions, and quantities.
3.3 Supplier Cancellations & Returns
- Cancellation by Shyamaa Living Ltd: The Company reserves the right to cancel any Purchase Order for standard components or materials, in whole or in part, at any time up to 7 business days before the scheduled delivery date without incurring any liability or cancellation fees.
- Rejection & Return of Defective Goods: Shyamaa Living Ltd reserves the right to inspect Goods within 14 days of receipt. The Company may reject any Goods that are defective, damaged, or fail to meet specified quality or fire safety standards.
- Supplier Expense:Rejected Goods will be held at the Supplier's risk and must be collected by the Supplier at their own expense within 7 days. The Supplier must issue a full refund or immediate replacement, at the Company's choosing.
3.4 Quality and Regulatory Compliance
All Goods supplied to the Company must be of satisfactory quality, fit for purpose, and free from defects in design, material, and workmanship.
Crucial Standard: Because the Company supplies to care homes, all contract furniture materials supplied must strictly comply with British/European Fire Safety Standards (including Crib 5 certification where requested). The Supplier must provide physical compliance certificates upon request.
3.5 Price and Payment
- The price stated on the Purchase Order is fixed and inclusive of packaging and delivery unless otherwise agreed.
- Unless alternative terms are agreed in writing, the Company shall pay valid, undisputed invoices within 30 days from the end of the month in which the invoice was received.
3.6 Indemnity
The Supplier shall indemnify Shyamaa Living Ltd against all liabilities, costs, expenses, damages, and losses incurred by the Company as a result of a defect in the Goods or any breach of warranty by the Supplier.
